Alejandro Reynal CEO, chairman MBA Lazard

In February, Argentina's central bank approved the sale of a 50% stake in Buenos Aires-based investment bank Grupo MBA to US investment bank Lazard, which was first announced in May 2007.

The new company - to be named MBA Lazard - stands to benefit from Lazard's best practice and expertise in M&A and debt restructuring in Latin America, both parties said in the press release that announced the deal.

BNamericas spoke with CEO and chairman of MBA Lazard, Alejandro Reynal, to ask him about the new bank's expansion plans and his outlook on Latin American M&A for this year.

BNamericas: Now that Lazard has sealed its entry into MBA, what is the new bank's expansion plan?

Reynal: Now that the transaction is over, the shares have been swapped and Lazard has appointed four members to MBA's board, it is time to start rolling out the business plan we have outlined.

BNamericas: And what is the business plan?

Reynal: We want to cover the whole region, from the Southern Cone to Central America, where we already have marketing coverage, but we want to have a physical presence in Peru and Colombia and also in the countries where our business is growing. We need local capacity.

BNamericas: How soon could we see that expansion into the Andean region unfold?

Reynal: We have already started and expect to enter Peru and Colombia this year. The plan for us is to have a physical presence in the entire region in three years, but that will depend on how the business evolves.

BNamericas: What kind of deals are you seeing most demand for today in Latin America?

Reynal: The region is quite diverse and in each country or set of countries there are different priorities. In Central America, you see a great concentration of businesses in the financial, infrastructure and agribusiness segments. In Peru in Chile, there are more mining-related deals, for example. Each market has a different level of consolidation and opportunities. It is very difficult to make a generalization about Latin America's M&A and debt restructuring markets as it depends on each specific market. That is why it is so important to have a presence in those markets.

BNamericas: Are those the two areas you will focus on to grow in Latin America? M&A and debt restructuring?

Reynal: In Argentina, we are also very active in asset management and treasury operations. We will expand those businesses throughout the region as long as we see opportunities. For now, we are focusing on those areas in which Lazard can add specific value, namely M&A, sales and debt restructuring.

BNamericas: How do you see the demand for investment banking services in Latin America this year, considering the global scenario?

Reynal: The investment banking business is much less globalized so I do not foresee a slowdown of activity in Latin America. In more developed markets, excess liquidity is forecast and even growth through M&A. In Latin America, it's different. Here, you buy based more on strategic plans than on excess liquidity or attractive valuations. We have been growing very strongly. In 2007, 50% of our business came from outside Argentina and we hope to surpass the 60% mark by end-2008. That reflects the fact the internationalization of our business is growing fast and we are very positive it will continue.

BNamericas: What type of companies are you planning to advise?

Reynal: We believe MBA Lazard's strength lies in the fact we can do deals with large multinational companies as well as with those that require specific local knowledge. It is about combining a local touch with global reach. We have the advantage of having a physical presence and significant understanding of the Latin American culture and through Lazard, we can reach more developed markets.

BNamericas: Do you look for companies in specific sectors?

Reynal: There is no specific industrial area we are looking for. By definition, Lazard is a general advisor that has no conflicts of interest as it does not finance the projects it evaluates and we have gone down the same path. Having said that, we see more potential in the infrastructure, financial services and agribusiness segments, but we are also executing mandates in very diversified sectors.

ABOUT THE COMPANY:

MBA Lazard has offices in Buenos Aires, Santiago, Montevideo and Panama City, and runs investment banking and asset management operations in Central and South America. The Argentine venture adds to Lazard's existing Brazilian joint venture, Signatura Lazard. Lazard operates from 35 cities across 17 countries worldwide.
